 “DIRECTORS NEED IN-HOUSE LAWYERS' HELP”
STATES CORPORATE GOVERNANCE COMMITTEE

The Commerce & Industry (C&I) Group’s Corporate Governance Committee has released a new publication providing in-house lawyers with practical advice in implementing the provisions of the Companies Act 2006 relating to directors' duties. The publication was featured as part of their appearance at the C&I Group’s Conference on The Companies Act 2006 – Its Impact and Corporate Governance Implications, in association with Slaughter and May on 25th September.

The publication provides a simple 10-step checklist to assist in-house lawyers in implementing these provisions of the Companies Act 2006.

Bruce Macmillan, Chairman of the Corporate Governance Committee said: “A lot of guidance has been issued by the DBERR, law firms, GC 100 and others on the Companies Act 2006’s codification of the duties of directors. The Corporate Governance Committee thought that it would be beneficial for in-house lawyers to have a short, accessible publication that provides a practical checklist to assist them with implementing appropriate measures and reviewing compliance. Whether your company is large or small, we hope that this checklist is useful.”
